National Service Alliance Partnership

National Service Alliance (“NSA”) has developed a Pro Membership Program that enables members of the Pro Membership Program to purchase from NSA’s affiliates (“Affiliates”) goods and services advertised on the Pro Membership Program website (“Program Website”) at discounted rates negotiated by NSA (“NSA Discounted Rates”).  You agree to participate in the Pro Membership Program as a member, which will enable you to take advantage of the special purchasing programs at the NSA Discounted Rates (“NSA Purchasing Programs”).

You shall pay NSA an annual membership fee of $199 [via PayPal].  You will be notified at least 60 days in advance of the expiration date of your membership regarding renewal for the following year.  Your membership will be automatically renewed for the following year and you will be charged the annual membership fee unless you advise us in writing of your intent to not renew your membership at least 30 days prior to the expiration date.  Upon termination or expiration of your membership for any reason, you will no longer be able to access the Program Website and you will no longer be eligible to participate in the NSA Purchasing Programs to purchase the goods and services advertised on the Program Website at the NSA Discounted Rates.

NSA retains the right to provide the Pro Membership Program in any form NSA deems appropriate; and retains the right to change any part of the Pro Membership Program, at any time and in any manner NSA deems appropriate, without prior notice to you.  However, NSA will use reasonable efforts to post any changes to the Pro Membership Program on the Program Website.

You acknowledge and agree that NSA shall not be liable for any obligations, assessments, fees, costs, expenses, damages, losses, claims, demands, judgments, actions, or other liabilities (collectively, “Liabilities”) relating to your participation in any NSA Purchasing Programs, including, without limitation, your agreements with any NSA Affiliates.  You shall indemnify, defend, and hold NSA harmless from any and all such Liabilities.

UNDER NO CIRCUMSTANCES SHALL NSA BE LIABLE FOR ANY SPECIAL, INDIRECT, ECONOMIC, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND OR NATURE WHATSOEVER, ARISING OUT OF OR IN ANY WAY RELATED TO THE PRO MEMBERSHIP PROGRAM, THESE TERMS AND CONDITIONS, YOUR MEMBERSHIP STATUS, AND/OR YOUR PARTICIPATION IN ANY NSA PURCHASING PROGRAMS REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM FOR DAMAGES IS BASED, EVEN IF NSA HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IF SUCH DAMAGES COULD HAVE BEEN REASONABLY FORESEEN.  IN NO EVENT SHALL NSA’S LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT OF THE ANNUAL MEMBERSHIP FEE.

NSA MAKES NO WARRANTIES AND REPRESENTATIONS, AND EXPRESSLY DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY OR OTHERWISE WITH RESPECT TO THE PRO MEMBERSHIP PROGRAM.
